Item 5.02.
In connection with the consummation of the Merger, certain of the Company’s directors as of immediately prior to the Effective Time—being Ryan Dubin, Stuart C. Harvey Jr., Adrian McDermott, Tyler Newton, H. Edward Robson II, George P. Scanlon, David Silverman and Debora Tomlin—resigned from his or her respective position as a member of the Board, and any committee thereof, effective as of the Effective Time. In accordance with the terms of the Merger Agreement, at the Effective Time, Brett White and Jason Christiansen became the directors of the surviving corporation of the Merger.
At the Effective Time, the officers of the Company as of immediately prior to the Effective Time became the officers of the surviving corporation of the Merger, in each case, until their respective successors are duly elected or appointed and qualified or until their earlier death, resignation or removal.
