Item 5.02 as filed

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective October 28, 2026, Shannon A. Johnson is devoting her full attention to her role as Chief Risk Officer of UMB Financial Corporation (the “Company”), a position she currently holds and in which she leads the Company’s enterprise risk-management function. The change allows for an expanded focus on strategically developing and enhancing the Company’s corporate risk function.
In connection with this change, Ms. Johnson will no longer hold the title of Chief Administrative Officer. The Chief Administrative Officer role will not be filled, as the former administrative responsibilities of that role are assumed within existing management. Ms. Johnson will continue to serve as Chief Risk Officer and will remain employed by the Company following the change, which does not reflect any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
