At the Effective
Time, pursuant to the Merger Agreement, Robert J. Eide, Eric Gatoff, Brian S. Genson, Barry Leistner, Andrew M. Levine, Howard M. Lorber,
Wayne Norbitz, Attilio F. Petrocelli, Joanne Podell and Charles Raich, each of whom was a director of the Company as of immediately prior
to the Effective Time, ceased to be a director of the Company and a member of any committee of the Company's board of directors. At the
Effective Time, C. Shane Smith, the sole director of Merger Sub immediately prior to the Effective Time, became the sole director of the Surviving Corporation.
